Terms of Use

1. About these terms

These Terms of Use ("Terms") govern your access to and use of the websites operated by:

• Sports Tech Africa Limited T/A STZA®, registered in England & Wales (Company No: 16850337), operating stza.io; and
• African Sports Technology Network (Pty) Ltd ("AfricanSTN"), registered in South Africa (Company No: 2026/020895/07), operating africanstn.com.

These two entities operate within the same group and are collectively referred to in these Terms as "we", "our", or "us".

By accessing or using either website, you agree to be bound by these Terms. If you do not agree, please do not use the websites. These Terms apply to all visitors, users, and anyone who interacts with our sites.

These Terms should be read alongside our Joint Privacy Policy, which explains how we collect, use, and protect your personal information.

2. Our services

We provide consulting, research, advisory, ecosystem development, and industry insight services within the sports technology sector. Our services span data protection compliance (including POPIA representation for foreign companies operating in South Africa), fractional finance director advisory, sports technology distribution, community membership, training and events, and market intelligence.

These websites provide information about our services and should not be taken as an offer to contract. Any engagement of our services is subject to a separate written agreement.

3. Age restriction

Our websites and services are intended for users aged 18 years and over. We do not knowingly collect personal information from children. If you are under 18, please do not use our websites or submit any personal information. This is consistent with our obligations under POPIA (which defines a child as anyone under 18) and UK GDPR.

4. Acceptable use

You may use our websites only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the websites in any way that violates applicable laws or regulations;
• Attempt to gain unauthorised access to the websites, their servers, or any connected systems;
• Interfere with the websites' functionality, security, or performance;
• Use automated systems (including bots, scrapers, or crawlers) without our prior written permission;
• Upload or distribute harmful code, viruses, malware, or any other destructive content;
• Use any content from the websites — including text, branding, graphics, logos, images, and other materials — for unlawful, unethical, or unauthorised purposes; or
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

We reserve the right to restrict or terminate access for any user who violates these Terms, without notice.

5. Intellectual property

All content on these websites — including text, branding, graphics, logos, images, designs, templates, and other materials — is owned by or licensed to Sports Tech Africa Limited and/or African Sports Technology Network (Pty) Ltd, and is protected by applicable intellectual property laws.

Without our prior written permission, you may not:

• Copy, reproduce, or distribute any content from the websites;
• Use our trademarks, logos, or branding (including the STZA® and AfricanSTN marks);
• Adapt, modify, or create derivative works from website content; or
• Use any materials from the websites for commercial purposes.

You may link to our websites or reference non-confidential, publicly available information with proper attribution to the relevant entity.

6. Accuracy of information

While we make reasonable efforts to ensure that the information on our websites is accurate and up to date, we make no warranties or guarantees that content is complete, accurate, or error-free; may update, amend, or remove content at any time without notice; and accept no responsibility for errors, omissions, or outdated information. Any reliance you place on the information published on our websites is at your own risk.

7. No professional advice

Information on our websites is provided for general informational purposes only. It does not constitute and should not be relied upon as legal advice, financial or investment advice, data protection or POPIA compliance advice, tax advice, technical certification, or professional consulting of any kind.

The provision of professional services by STZA or AfricanSTN is subject to a separate written engagement agreement. Any business or compliance decisions made in reliance on website content are made at your own risk and responsibility.

8. Third-party links

Our websites may contain links to external websites, services, or resources operated by third parties. We do not endorse or approve the content of any third-party website, do not control and accept no responsibility for the content, accuracy, or practices of external websites, and cannot guarantee the security or safety of third-party websites. Your use of any third-party website is subject to that website's own terms and policies.

9. Email subscriptions and communications

If you subscribe to our updates, register for events, or submit an enquiry form:

10. Cookies

Our websites use cookies and similar tracking technologies. For full details on the types of cookies we use, how we use them, and how you can manage your preferences, please refer to Section 11 of our Joint Privacy Policy.

11. User submissions

If you submit any form, application, enquiry, or other communication through our websites:

• You confirm that the information you provide is accurate and complete to the best of your knowledge;
• You grant us permission to store and process the data in accordance with our Joint Privacy Policy;
• You agree not to submit content that is unlawful, defamatory, threatening, abusive, or otherwise objectionable; and
• You acknowledge that we may retain your submission for the period specified in our data retention schedule.

12. Community and membership platform

If you register for our community or membership platform, separate conditions of membership apply. These are provided to you at the point of invitation or registration, and are available on request from privacy@stza.io. Where those conditions and these Terms differ in respect of the community, the conditions of membership take precedence. In general:

• You must be 18 or over, and membership is personal to you rather than to your organisation;
• You are responsible for all activity conducted through your account or membership;
• You agree to provide accurate and current information about yourself;
• Content you post in groups, forums or discussions may be visible to other members, and where the community is hosted on a third-party messaging platform other members will also be able to see the telephone number you joined with;
• Membership confers no coverage in our research, no listing, position or ranking in the AfricanSTN register, no referral and no introduction;
• You may not export, scrape or re-use other members' contact details, or add them to any other group or mailing list;
• We reserve the right to suspend or remove members who breach these Terms or the conditions of membership; and
• We will never publish your profile or your contributions externally without your explicit consent.

13. Limitation of liability

To the fullest extent permitted by law, Sports Tech Africa Limited and African Sports Technology Network (Pty) Ltd (and their directors, officers, and agents) will not be liable for any loss or damage arising from your use of, or inability to use, the websites; business interruption, loss of profits, revenue, data, or anticipated savings; errors, omissions, or inaccuracies in website content; unauthorised access to or alteration of your data (except to the extent required by applicable data protection law); technical issues, downtime, or interruptions affecting website availability; or any reliance placed on information published on the websites.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law. If you are a consumer, nothing in these Terms affects your statutory rights under the Consumer Rights Act 2015 or any other applicable consumer protection legislation.

14. Indemnity

You agree to indemnify and hold harmless Sports Tech Africa Limited, African Sports Technology Network (Pty) Ltd, and their respective directors, officers, and agents from and against any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms or your misuse of the websites.

15. Suspension and termination

We may suspend or terminate your access to the websites, in whole or in part, at any time and without prior notice if you violate these Terms, your activity poses a risk to the security or integrity of the websites, we are required to do so by law or regulatory order, or we undertake maintenance, upgrades, or discontinue any part of the websites.

16. Governing law and jurisdiction

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any dispute arising from these Terms.

Nothing in these Terms affects the application of mandatory data protection legislation, including the UK GDPR, EU GDPR, and POPIA, to the processing of personal information.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed from the remaining Terms, which shall continue in full force and effect.

18. Entire agreement

These Terms, together with our Joint Privacy Policy, constitute the entire agreement between you and us in relation to your use of the websites. They supersede all previous agreements, understandings, and arrangements between us in relation to such use. Nothing in these Terms creates or implies any professional services engagement.
